These terms apply to all deliveries and invoices of Agriwelt GmbH, Hackhofergasse 1, 1190 Vienna, Austria (commercial register no. FN 617883 b, VAT ID ATU80197626).
1. Payment
The invoice amount is due within 14 days of the invoice date without deduction, unless the invoice states otherwise. Payment is made by bank transfer to the account stated on the invoice.
2. Prices and delivery
All prices are in EUR. Delivery is DAP (delivered at place), unless otherwise stated. For EU customers with a valid VAT ID, the invoice is issued net as a tax-exempt intra-Community supply under Art. 6(1) of the Austrian VAT Act 1994 (Binnenmarktregelung) in conjunction with Art. 138 of the VAT Directive (2006/112/EC). For services, the reverse-charge procedure applies under Art. 196 of the VAT Directive. Private customers and customers without a valid VAT ID are charged the VAT required by law.
3. Delivery
Delivery dates are non-binding estimates. Agriwelt GmbH is not liable for delays caused by supply chain disruptions, component shortages, or other circumstances beyond its reasonable control.
4. Partial deliveries
Agriwelt GmbH reserves the right to make partial deliveries. Each partial delivery may be invoiced separately.
5. Availability
All orders are subject to product availability. If ordered items are not in stock, the buyer will be informed without delay. Agriwelt GmbH reserves the right to cancel or adjust orders that cannot be fulfilled within a reasonable period.
6. Transfer of risk for DAP deliveries
For DAP deliveries, Agriwelt GmbH bears the shipping costs and the risk of accidental loss until arrival at the agreed place of destination.
7. Returns, warranty and manufacturer's guarantee
Defects must be reported in writing within 14 days of receipt of the goods. Agriwelt GmbH grants a 2-year manufacturer's guarantee on all products against defects in material and workmanship, starting from the invoice date. At the sole choice of Agriwelt GmbH, the guarantee is limited to repair or replacement with an equivalent product. The guarantee does not cover: normal wear and tear; damage caused by improper installation, misuse, unauthorized modification or repair; chemical, mechanical or thermal effects outside the specified operating conditions; damage caused by overvoltage, lightning or force majeure. Guarantee claims require the original proof of purchase and a prior written return authorization. Consumers' statutory warranty rights remain unaffected.
8. Retention of title
The goods remain the property of Agriwelt GmbH until all claims have been paid in full.
9. Governing law and jurisdiction
All legal transactions are governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Vienna, Austria.
